1. Who we are

These Terms of Service (“Terms”) are a legal agreement between you (“you”, “your”, or “User”) and OM Connect Sdn Bhd (Company No. 1017397-U), a company incorporated in Malaysia with its registered office at C-1-05, Centum @ Oasis Corporate Park, No. 2, Jalan PJU 1A/2, Ara Damansara, 47301 Petaling Jaya, Selangor, Malaysia (“Openminds Lab“, “we“, “us“, or “our“).

Openminds Lab operates https://labs.openminds.my (the “Site“) and related lab applications, demos, and proof-of-concept tools (together, the “Service“). The Site showcases AI, automation, and digital innovation projects built by the OpenMinds Group team for clients and internal research.

2. Acceptance

By accessing or using the Service, including signing in with Google or any other supported identity provider, you confirm that:

(a) you have read, understood, and agree to these Terms and our Privacy Policy;

(b) you are at least 18 years old, or the legal age of majority in your jurisdiction, whichever is higher;

(c) you have the legal capacity to enter into a binding contract; and

(d) if you use the Service on behalf of an organisation, you have authority to bind that organisation, and “you” refers to that entity.

If you do not agree, do not use the Service.

3. The Service

3.1 What we provide

Openminds Lab is a repository and demonstration platform for proof-of-concept (POC) projects. Depending on the project, the Service may let you:

3.2 Proof-of-concept nature

Many features on the Site are experimental demonstrations, not production services. We do not guarantee availability, accuracy, performance, or fitness for any particular purpose. Outputs from AI-powered demos are probabilistic and may be incomplete or incorrect.

3.3 Changes and availability

We may modify, suspend, or discontinue any part of the Service at any time without prior notice. We are not liable for downtime, data loss, or changes to third-party platforms (including Google) that affect the Service.

4. Accounts and sign-in

4.1 Registration

Where sign-in is required, you may authenticate using Google Sign-In or other methods we support. You agree to:

(a) provide accurate information;

(b) keep your credentials secure;

(c) accept responsibility for activity under your account.

Notify us immediately at ihsanberahim@openmindsresources.com if you suspect unauthorised access.

4.2 Google Sign-In

If you sign in with Google, you authorise us to receive basic profile information from your Google account as described in our Privacy Policy. Your use of Google services is also subject to Google’s Terms of Service and Google’s Privacy Policy.

4.3 Eligibility

You must not use the Service if you are prohibited by applicable law or sanctions from doing so.

5. Acceptable use

You agree not to:

(a) use the Service for unlawful, harmful, fraudulent, or abusive purposes;

(b) attempt to gain unauthorised access to systems, accounts, or data;

(c) interfere with or disrupt the Service or its infrastructure;

(d) scrape, crawl, or harvest data except as permitted by us in writing;

(e) upload malware, spam, or content that infringes third-party rights;

(f) use AI demos to generate illegal, harassing, deceptive, or rights-infringing content;

(g) misrepresent your identity or affiliation;

(h) reverse-engineer or circumvent security or access controls except where law permits.

We may suspend or terminate access for violations.

6. Your content

6.1 Content you provide

You retain ownership of content you submit (prompts, files, messages, form data, feedback). You grant us a worldwide, non-exclusive, royalty-free licence to host, process, and display that content solely to operate, improve, and support the Service and related POC work.

6.2 AI-generated outputs

Where a demo produces AI-generated output, you acknowledge that:

(a) outputs may not be original or legally protectable;

(b) similar outputs may be produced for others;

(c) you are responsible for reviewing outputs before any commercial or public use;

(d) we make no warranty that outputs are accurate, non-infringing, or suitable for your use case.

6.3 Our content

The Site design, branding, project descriptions, documentation, code, and other materials (excluding your submissions) are owned by us or our licensors. You may not copy or reuse them without our written permission except for personal, non-commercial viewing of the Site.

7. Third-party services

The Service may integrate with third-party platforms, including Google, cloud hosting providers, analytics tools, messaging APIs, and AI model providers. Those services are governed by their own terms. We are not responsible for third-party outages, policy changes, or data handling except as stated in our Privacy Policy.

8. Privacy

Our collection and use of personal data, including data obtained through Google Sign-In, is described in our Privacy Policy. By using the Service, you acknowledge that policy.

9. Suspension and termination

We may suspend or terminate your access at any time if we reasonably believe you have breached these Terms, pose a security risk, or if continued access would create legal or operational risk.

You may stop using the Service at any time. Provisions that by nature should survive (including Sections 6, 10, 11, 12, and 13) will survive termination.

10. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

11. Limitation of liability

To the fullest extent permitted by law:

(a) we are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or goodwill;

(b) our total liability for all claims relating to the Service will not exceed MYR 500 or the amount you paid us in the twelve (12) months before the claim, whichever is greater;

(c) nothing limits liability that cannot be limited under applicable law.

12. Governing law and disputes

These Terms are governed by the laws of Malaysia. The parties will first try to resolve disputes in good faith. If unresolved within 30 days, disputes will be referred to arbitration under the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, in English, by a sole arbitrator. Either party may seek injunctive relief in Malaysian courts.

13. General

Changes: We may update these Terms. Material changes will be posted on this page with an updated date. Continued use after changes take effect constitutes acceptance.

Entire agreement: These Terms and the Privacy Policy are the entire agreement regarding the Service.
